eCobalt Announces Closing of C$17.25 Million Bought Deal Financing

VANCOUVER, Feb. 28, 2017 /CNW/ - eCobalt Solutions Inc. (TSX: ECS; OTCQB: ECSIF) (the "Company" or "eCobalt") is pleased to announce that it has closed its previously announced bought deal financing (the "Financing") of 15 million Units (the "Units") and the related over-allotment option of 2.25 million Units at a purchase price of C$1.00 per Unit (the "Offering Price"), for aggregate gross proceeds in the amount of C$17.25 million. The Financing was completed by a syndicate of underwriters led by Canaccord Genuity Corp.
Each Unit consists of one common share of the Company and one-half of one common share purchase warrant (each whole common share purchase warrant, a "Warrant"). Each Warrant entitles the holder thereof to purchase one common share at an exercise price of C$1.50 for a period of twenty-four (24) months following the Closing Date. The Warrants are subject to an acceleration clause such that, if the closing price of the Common Shares is equal to or greater than C$1.80 per share for a period of ten consecutive trading days, the Company will have the option, but not the obligation, to effect for an accelerated expiration date that will be 20 calendar days from the issuance of a notice of acceleration.
The Offered Securities issued under the Offering were offered by way of a prospectus supplement (the "Supplement") and an accompanying short form base shelf prospectus of the Company, in all of the provinces in Canada, other than Quebec, in certain offshore jurisdictions, and in the United States on a private placement basis pursuant to applicable exemptions under the U.S Securities Act of 1933, as amended. The Offered Securities have not been and will not be registered under the United States Securities Act of 1933, as amended, and they may not be offered or sold in the United States or to a US person unless and exemption from registration is available.
