Extorre Gold Mines Announces $30 Million Bought Deal Common Share Private

VANCOUVER, Sept. 13 /CNW/ - Extorre Gold Mines Limited ("Extorre" or the "Company") is pleased to announce that it has entered into an agreement with Canaccord Genuity Corp. (the "Underwriter"), to sell 6,800,000 common shares (the "Common Shares") at a price of C$4.45 for gross proceeds of C$30,260,000 (the "Underwritten Offering"). In addition, the Company will grant the Underwriter an over-allotment option, exercisable prior to the closing of the Underwritten Offering, to purchase from the Company up to an additional 2,300,000 common shares at C$4.45 per share to raise additional gross proceeds of up to C$10,235,000 (the "Over-Allotment Option", and together with the Underwritten Offering, the "Offering").
The Underwriter will receive a cash commission of 6% of the gross proceeds raised, and non-transferable share purchase warrants entitling the Underwriter to purchase, at a price of $5.00 within 12 months after closing of the Offering, Common Shares equal to 5% of the aggregate number of securities sold pursuant to the Offering.
The Company intends to use the net proceeds of the Offering to advance its Cerro Moro project located in the Santa Cruz Province, Argentina, including extending the discovery drilling program, advancing engineering programs, for general exploration and for general working capital purposes.
Closing of the Offering is anticipated to occur on or before September 28, 2010 and is subject to receipt of applicable regulatory approvals including approval of the Toronto Stock Exchange. Securities issued under the Offering and through the over-allotment option will be subject to a four month hold period which will expire four months from the date of closing.
