0955662 B.C. Ltd. Extends Take-Over Bid for OneMove Technologies Inc. and Announces Satisfaction of all Conditions

TORONTO, Feb. 22, 2013 /CNW/ - 0955662 B.C. Ltd. (the "Offeror"), a wholly-owned subsidiary of Plantro Ltd., is pleased to announce that 6,068,449 common shares (the "Common Shares") of OneMove Technologies Inc. ("OneMove") have been deposited to its take-over bid (the "Offer"). The Common Shares deposited to the Offer represent approximately 48.5% of the issued and outstanding Common Shares as of February 21, 2013.

All of the conditions to the Offer have been satisfied and, accordingly, the Offeror has taken up all Common Shares deposited to the Offer as of this date.

Following the take up and payment of Common Shares deposited to the Offer to date, the Offeror, together with its affiliates and joint actors (including Plantro Ltd. and Seastone Investments Limited), will own 9,049,149 Common Shares, representing approximately 72.4% of the outstanding Common Shares.

By notice to the depositary on February 21, 2013, the Offeror has extended the expiration date of the Offer to 5:00 p.m. (Eastern Standard Time) on March 8, 2013 in order to permit shareholders that have not tendered their Common Shares an opportunity to do so.

About the Offer

The details of the Offer are contained in the take-over bid circular of the Offeror dated January 17, 2013. The take-over bid circular and related documents have been filed under OneMove's profile on SEDAR at www.sedar.com. The board of directors of OneMove, upon the unanimous recommendation of the special committee of the board of directors, has unanimously recommended (with those directors who are nominees of the Offeror and its affiliates abstaining) that Shareholders accept the offer and deposit their Common Shares to the Offer.

The Offeror is preparing a notice of variation and extension to be sent to shareholders of OneMove regarding the extension of the expiration date of the Offer. The notice of variation and extension will also be available under OneMove's profile on SEDAR once filed, which the Offeror expects to do in short order.
