3TL Technologies Corp. announces private placement and new officer

VANCOUVER, Aug. 11, 2015 /CNW/ - 3TL Technologies Corp. (TSXV:TTM) ("3TL" or the "Company"), announces that it will proceed with a non-brokered private placement of 3,500,000 units of the Company (the "Units") at $0.20 per Unit for gross proceeds of $700,000 (the "Offering").
Each Unit will consist of one common share in the capital of the Company (a "Share") and one share purchase warrant (a "Warrant"). Each Warrant will entitle the holder to purchase one additional common share in the capital of the Company (a "Warrant Share") at a price of $0.20 per Warrant Share for a period of 18 months from the closing of the Offering.
The Company will be entitled to accelerate the expiry date of the Warrants to the date that is 30 days following the date a news release is issued announcing the accelerated expiry date in the event that the volume weighted average price of the Shares has been equal to or greater than $0.30 for any five consecutive trading days after four months and one day after closing of the Offering.
The Company may pay a finder's fee on the Offering within the amount permitted by the policies of the TSX Venture Exchange (the "Exchange"). Closing of the Offering is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals, including the Exchange. All securities issued in connection with the Offering will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation. The net proceeds from the Units will be used for general corporate working capital.
The Company also announces that Judyanna Chen has resigned as the Chief Financial Officer and the Company has appointed Sam Wang as the Chief Financial Officer of the Company.
