Akela Pharma announces a delay in the release of its audited year-end
financial statements
AUSTIN, TX, April 6 /CNW Telbec/ - Akela Pharma, Inc. ("Akela"), (TSX: AKL), a leader in the development of therapeutics for the treatment of pain, and the company's wholly owned subsidiary, PharmaForm, announced today that its audited annual financial statements, CEO and CFO certifications under National Instrument 52-109, management discussion and analysis ("MD&A") and annual information filing ("AIF") for the year ended December 31, 2009 have not been released on March 31, 2010 in accordance with applicable securities laws. It is now anticipated that the release of these documents will occur around April 30, 2010 but in no event later than May 31, 2010.
In Q3 of 2009, Akela's operational headquarters have been centralized in Austin, Texas, and several of the company's international operations are in the process of being closed. All these significant changes have affected and still affect Akela's ability to release its audited financial statements and the relevant documentation in due course. However, having the interest of our shareholders in mind, Akela is diligently working on finalising its annual financial statements in a timely manner.
As a result of the delay, Akela has voluntarily requested that the Autorité des marchés financiers as its principal regulator, and other Canadian securities regulatory authorities issue a temporary order that prohibits certain directors, officers and insiders of Akela from trading in securities of Akela for as long as the annual financial statements, certifications and related MD&A and AIF are not filed. The issuance of such management cease trade order does not generally affect the ability of persons who have not been directors, officers or insiders of Akela to trade in their securities.
Akela intends to provide information in accordance with National Policy 12-203 - Cease Trade Orders for Continuous Disclosure Defaults with respect to further developments on this matter promptly following their occurrence, including the issuance of biweekly status update reports until such time as the annual disclosure documentation is issued and filed.
Akela intends to proceed with its annual general meeting no later than June 30, 2010 and expects the results for the first quarter of 2010 to be released by May 15, 2010.
