LAVAL, QC, Aug. 14, 2012 /CNW Telbec/ - Alimentation Couche-Tard Inc. ("Couche-Tard") announced today that it completed the closing of its previously announced public offering of 6,350,000 Class B subordinate voting shares of Couche-Tard (the "Subordinate Voting Shares") and the concurrent closing of the over-allotment option to purchase an additional 952,500 Subordinate Voting Shares. An aggregate amount of 7,302,500 Subordinate Voting Shares were issued and sold today to a syndicate of underwriters (the "Underwriters") composed of National Bank Financial Inc., Scotia Capital Inc., UBS Securities Canada Inc., HSBC Securities (Canada) Inc., Desjardins Securities Inc. and Barclays Capital Canada Inc. at a price of $47.25 per Subordinate Voting Share, for net proceeds of approximately $330.4 million after deducting the Underwriters' fee and the estimated expenses of the offering.
The net proceeds of the sale of the Subordinate Voting Shares will be used to pay down a portion of Couche-Tard's outstanding long-term debt. The Subordinate Voting Shares have been offered in all provinces of Canada by way of a final short form prospectus dated August 3, 2012.

It operates 12 key terminals as well as 38 depots in eight countries while it also operates approximately 400 road tankers.
