ALIMENTATION COUCHE-TARD INC. PRICES PRIVATE OFFERING OF C$ DENOMINATED SENIOR UNSECURED NOTES Français
LAVAL, QC, Jan. 22, 2024 /CNW/ - Alimentation Couche-Tard Inc. ("Couche-Tard" or the "Corporation") (TSX: ATD) announced today that it has priced Cdn.$500 million aggregate principal amount of 4.603% Series 8 Senior Unsecured Notes due January 25, 2029 (the "Notes"), in a private offering in all of the provinces of Canada (the "Offering"). The Offering is expected to close on or about January 25, 2024, subject to customary closing conditions. Couche-Tard intends to use the net proceeds of the Offering to partially repay outstanding indebtedness under credit facilities made available to Couche-Tard, which indebtedness was used to fund a portion of the purchase price of the acquisition of certain European retail assets from TotalEnergies.
The Notes are being offered through an agency syndicate consisting of National Bank Financial Inc., Desjardins Securities Inc., RBC Dominion Securities Inc. and Scotia Capital Inc., Barclays Capital Canada Inc., BMO Nesbitt Burns Inc., BNP Paribas (Canada) Securities Inc., BofA Securities, Goldman Sachs Canada Inc., HSBC Securities (Canada) Inc., J.P. Morgan Securities Canada Inc., MUFG Securities (Canada), Ltd., Rabo Securities Canada, Inc., SMBC Nikko Securities Canada, Ltd., TD Securities Inc., and Wells Fargo Securities Canada, Ltd.
The Notes will be direct unsecured obligations of Couche-Tard and will rank pari passu with all other current and future senior unsecured and unsubordinated indebtedness of Couche-Tard and will be guaranteed on a senior unsecured basis by certain of Couche-Tard's whollyowned subsidiaries who are guarantors under Couche-Tard's senior credit facilities.
The Notes have been assigned a rating of "BBB+" by Standard & Poor's and "Baa1" by Moody's.
The Notes have not been and will not be qualified for sale to the public under applicable securities laws in Canada and, accordingly, any offer and sale of the Notes in Canada will be made on a basis which is exempt from the prospectus requirements of such securities laws.
