American Natural Energy Corporation Announces Issuance of Shares of Common Stock
TULSA, Okla., Aug. 2, 2012 /CNW/ - American Natural Energy Corporation ("ANEC") (TSX Venture: ANR.U) announced today that it has sold an aggregate of 7 million shares of its common stock for an aggregate cash consideration of $420,000. The proposed sale of the shares was previously announced on June 8, 2012. The proceeds are proposed to be used to fund the drilling and development of ANEC's Bayou Couba proved undeveloped locations.
The shares of common stock are not registered under the Securities Act of 1933, as amended (the "Securities Act"), or the securities laws of any state and were issued in reliance on the exemption from registration afforded by Section 4(2) of the Securities Act, Rule 506 of Regulation D promulgated under the Securities Act and corresponding provisions of state securities laws which exempt transactions by an issuer not involving any public offering.
