American Natural Energy Corporation Announces Payment of Bonus Shares
TULSA, Okla., March 2, 2012 /CNW/ - American Natural Energy Corporation ("ANEC") (TSX Venture: ANR.U) announced that bonus shares of common stock are to be paid to two officers and directors in conjunction with personal guarantees provided to secure various financings, subject to TSX Venture Exchange approval. ANEC will issue 1.5 million shares each to Michael Paulk, CEO and Steven Ensz, CFO as bonuses for guarantees each provided to financial institutions. A total of 18,928,895 shares will be outstanding after the issuance of these shares.
The shares of common stock will be subject to a four month and one day hold period after the date of issuance and may not be traded until the end of such period, except as permitted by applicable Canadian securities laws and the policies of the TSX Venture Exchange.
The securities will be issued in reliance upon the exemption from the registration requirements of the US Securities Act of 1933, as amended (the "Act"), afforded by Regulation D and Section 4(2) and pursuant to Regulation S under the Act. The securities may not be reoffered or resold by the purchasers absent registration under the Act or an applicable exemption from the registration requirements of the Act.
