ASC accepts undertakings from Parkview Limited Partnership and Graphite Finance Inc.
CALGARY, Sept. 25, 2012 /CNW/ - The Alberta Securities Commission (ASC) has accepted undertakings from Parkview Limited Partnership and Graphite Finance Inc. in regards to the following offering memoranda:
- Parkview Limited Partnership: Offering Memorandum for Class A Units dated May 1, 2012; and
- Graphite Finance Inc.: Offering Memorandum for Class R Shares dated April 2, 2012.
In the undertakings, Parkview Limited Partnership and Graphite Finance Inc. undertake to cease delivering the named offering memoranda to any purchaser in connection with any trade of their securities, exchange contracts or both under any prospectus exemption available under National Instrument 45-106 (NI 45-106). The companies also undertake to not distribute or engage in any act in furtherance of a trade in respect of their securities, exchange contracts or both under exemption 2.9 Offering Memorandum of NI 45-106 until they have filed an offering memorandum with the ASC that complies with Alberta securities laws and receive confirmation from the ASC that the undertakings have been satisfied.
