Boralex Inc. extends offer for Boralex Power Income Fund to July 12, 2010
MONTREAL, June 28 /CNW Telbec/ - Boralex Inc. ("Boralex"), through its wholly-owned subsidiary 75036791 Canada Inc. (the "Offeror"), announced it has extended its offer (the "Offer") to purchase upon the terms and subject to the conditions of the Offer, all of the issued and outstanding trust units (the "Units") of Boralex Power Income Fund (the "Fund"), except for all of the outstanding Class B limited partnership units together with the special voting units of the Fund associated therewith of Boralex Power Limited Partnership (the "Class B LP Units") to 7:00 p.m. (Montréal time) on July 12, 2010, unless extended or withdrawn by the Offeror.
The Offeror has been advised by Computershare Investor Services Inc., in its capacity as depositary under the Offer, that as of 5:00 p.m. (Montréal time) today 10,620,127 Units have been tendered to the Offer. The 10,620,127 Units together with the 13,767,990 Class B LP Units held by Boralex Inc. represent a total of 24,388,117 Units (41.28% of the issued and outstanding units calculated on a fully-diluted basis) which are in favour of the Offer. As such, the minimum tender condition of at least 66 2/3% of the Units, together with Units and other securities exchangeable into Units held by Boralex or any of its associates, affiliates or subsidiaries, would not have been satisfied.
"We continue to firmly believe our offer provides Boralex Power Income Fund unitholders with full and fair value for their units and they will benefit from more stability and sustainability brought on by a larger, more diversified and growing Boralex. To date, no other offer has materialized for Boralex Power Income Fund. We have no intention of increasing or modifying our offer" said Patrick Lemaire, President and Chief Executive Officer of the Offeror.
Aside from the extension, the terms and conditions of the Offer described in the Offeror's offer and take-over bid circular dated May 18, 2010, remain unchanged.
The Offeror will mail a formal notice of extension to the Fund unitholders. The notice extension will also be available on the SEDAR website at www.sedar.com and on the EDGAR website at www.sec.gov.
