BSM Technologies Inc. Announces Voting Results from Annual General and Special Meeting of Shareholders

TORONTO, March 24, 2017 /CNW/ - BSM Technologies Inc. ("BSM" or the "Company") (TSX: GPS), a leading provider of remote monitoring, fleet management, and fleet diagnostics, today announced the voting results from its annual general and special meeting of shareholders (the "Meeting") held yesterday in Toronto.

A total of 30,099,616 common shares, representing approximately 36.44% of the Company's outstanding common shares as of the record date of January 31, 2017, were voted in person or by proxy at the Meeting.

BSM shareholders voted in favour of all items business, including the election of the following director nominees:

In addition to the election of the director nominees, BSM's shareholders also approved:

• The resolution approving the re-appointment of PricewaterhouseCoopers LLP as the auditor of the Company to hold office until the next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the auditor's remuneration, with 29,930,605 (99.88%) total votes cast "FOR" and 36,152 (0.12%) total votes "WITHHELD"; and
• The resolution approving the repeal of By-Law No. 4 and its replacement by a new Amended By-Law No. 4, with 28,002,396 (95.25%) total votes cast "FOR" and 1,395,386 (4.75%) total votes "WITHHELD".
