(the "Company") (TSX Venture: CPE) announces that it has signed a letter of interest and is in discussion with an undisclosed arm's length party in connection with the potential acquisition of a new business that, if completed, would result in a reverse take-over of the Company.

The Company will provide more information on the transaction as discussions progress. There can be no assurance that discussions will lead to any agreement or transaction.
