TORONTO, Sept. 13, 2012 /CNW/ - On September 11, 2012, Jeffrey Roy, together with Stephen Arcano of Skadden, Arps, Slate, Meagher & Flom, presented the topic "Emerging Issues in Canadian M&A and U.S. Treatment of Similar Issues" at American Lawyer's Cross-Border M&A Forum at the Harvard Club in New York City.
This presentation focused on defensive measures in change of control transactions, including: shareholder rights plans; poison pills; and private placements to thwart preclusive lock-ups. The experts also discussed related third-party transactions, an overview of the differences between U.S. and Canadian approaches and possible amendments to MI 61-101 in Canada.
According to conference organizers, 40% of U.S. CEOs say they plan to complete a cross-border deal this year, compared to just 25% last year. This indicates that the focus has shifted back to growth.
