CROP Announces Closing of Senior Secured Convertible Debenture Offering
VANCOUVER, British Columbia, Feb. 26, 2019 /CNW/ -- CROP Infrastructure Corp. (CSE: CROP) ("CROP" or the "Company") announces that the Company completed its previously announced non-brokered private placement offering (the "Offering") of senior secured convertible debenture units. Pursuant to the transaction, the Company issued senior secured convertible debentures in the principal amount of $4,000,000 and an aggregate of 13,333,333 share purchase warrants (each, a "Warrant") with each Warrant entitling the holder thereof to acquire one common share of the Company (each, a "Warrant Share") at an exercise price of $0.50 per Warrant Share for a period of 3 years from the date of the closing of the Offering.
The proceeds of the Offering are expected to be used to continue to grow the Company's United States operations and for general working capital purposes.
All securities issued pursuant to the Offering are subject to a restricted period of four months and one day.
