Duluth Metals Granted Interim Order For Arrangement
TORONTO, Dec. 3, 2014 /CNW/ - Duluth Metals Limited ("Duluth" or "Duluth Metals") (TSX: DM) (TSX:DM.U) is pleased to announce that the Ontario Superior Court of Justice (Commercial List) (the "Court") today granted an interim order (the "Interim Order") providing for, among other things, the calling and holding of a meeting of Duluth shareholders (the "Meeting") to approve Duluth's previously announced proposed arrangement (the "Arrangement") with Antofagasta Investment Company Limited ("Antofagasta"), a wholly-owned subsidiary of Antofagasta plc. Under the Arrangement, Antofagasta will, subject to the provisions of the arrangement agreement dated November 21, 2014 between Duluth and Antofagasta (the "Arrangement Agreement"), acquire all of the outstanding common shares of Duluth at a price of CDN$0.45 per common share in cash.
An information circular describing the Arrangement will be mailed to Duluth's shareholders during the week of December 15, 2014. The record date for determining the Duluth shareholders entitled to receive notice of and vote at the Meeting has been set as December 8, 2014, in compliance with the Interim Order.
The Meeting has been scheduled for January 14, 2015 and the hearing date for the application for the final order of the Court (the "Final Order") has been scheduled for January 16, 2015. Subject to obtaining the required approvals from the Duluth shareholders at the Meeting, obtaining the Final Order and the satisfaction or waiver of all other closing conditions, the Arrangement is anticipated to be completed on or about January 20, 2015.
