Firm Capital Property Trust Files Preliminary Base Shelf Prospectus

TORONTO, Nov. 19, 2019 /CNW/ - Firm Capital Property Trust ("FCPT" or the "Trust"), (TSXV : FCD.UN) announced today that it has filed a preliminary short form base shelf prospectus with the securities regulatory authorities in all provinces of Canada that will, upon a receipt being issued for FCPT's (final) short form base shelf prospectus, allow FCPT to offer and issue up to $250 million of trust units, debt securities, subscription receipts, warrants or units, or any combination of such securities, over a 25-month period. The preliminary short form base shelf prospectus has not yet become final for the purpose of the sale of securities. When securities covered by the (final) short form base shelf prospectus are offered for sale, a prospectus supplement containing terms of these securities will be filed.
The securities covered by the base shelf prospectus have not been, and will not be, registered under the United States Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the United States unless an exemption from registration is available. DISTRIBUTION REINVESTMENT PLAN & UNIT PURCHASE PLAN
The Trust has in place a Distribution Reinvestment Plan ("DRIP") and Unit Purchase Plan (the "Plan"). Under the terms of the DRIP, FCPT's Unitholders may elect to automatically reinvest all or a portion of their regular monthly distributions in additional Units, without incurring brokerage fees or commissions. Under the terms of the Plan, FCPT's Unitholders may purchase a minimum of $1,000 of Units per month and maximum purchases of up to $12,000 per annum.
