First Capital Realty Announces Election of Directors

TORONTO, May 23, 2014 /CNW/ - First Capital Realty Inc. (TSX:FCR) (the "Company"), Canada's leading owner, developer and manager of well located, high quality, urban retail-centered properties, announced today the results of the election of directors at its annual and special meeting of shareholders held on May 22, 2014 (the "Meeting").

The total number of common shares represented by shareholders present in person or by proxy at the Meeting was 175,089,313, representing 83.71% of the Company's issued and outstanding common shares.

Each of the eight director nominees listed in the Company's management information circular dated April 2, 2014 were elected as directors by resolution passed by a majority of the shareholders by way of a show of hands: Chaim Katzman, Dori J. Segal, Jon N. Hagan, Nathan Hetz, Allan S. Kimberley, Susan J. McArthur, Bernard McDonell, and Andrea Stephen. The nominees were existing members of the Board of Directors, with the exception of Allan S. Kimberley who was a new director nominee this year.  Messrs. Steven K. Ranson and Moshe Ronen did not stand for re-election at the Meeting and the Company thanks them for their dedication and contribution to the Company throughout their fourteen-year tenure on the Board. Management received proxies to vote for the directors as follows:

Mr. Kimberley recently retired from his position as Vice-Chairman and Managing Director of Investment Banking, Real Estate at CIBC World Markets Inc. ("CIBC").  During his tenure at CIBC from 1996 to 2014, Mr. Kimberley has accumulated extensive experience in real estate and capital markets transactions, including debt and equity origination and execution, and mergers and acquisitions advisory services.  Mr. Kimberley is a corporate director.  He is also Chair of the Development Committee and a member of the Executive Committee of the Board of the Toronto Symphony Orchestra and is a member of the Governance and Government Committee of the Board of the Ontario Science Centre.  He graduated from McMaster University with a Bachelor of Commerce degree and also holds a Masters, Business Administration degree from the University of Toronto.
