Gazit America Announces Receipt of Interim Order and Date for Annual and Special Meeting of Shareholders

TORONTO, June 27, 2012 /CNW/ - Gazit America Inc. ("Gazit America") (TSX: GAA) announced today that it has received the interim order (the "Interim Order") of the Ontario Superior Court of Justice (Commercial List) (the "Court") required in connection with the arrangement (the "Arrangement"), announced on June 21, 2012, under the Business Corporations Act (Ontario) involving Gazit America, Gazit-Globe Ltd. and First Capital Realty Inc.

Gazit America also announced today that the date for the annual and special meeting of shareholders of Gazit America (the "Meeting") to consider the special resolution approving the Arrangement, together with other annual meeting business, has now been set for August 2, 2012 at 2:00 p.m. at the Toronto Board of Trade, 1 First Canadian Place, Suite 350, Toronto, Ontario.

Following receipt of the Interim Order today, Gazit America expects to mail the Management Information Circular prepared in connection with the Meeting to shareholders of Gazit America on Friday, June 29, 2012 and, in accordance with applicable law, the record date for shareholders to receive notice of and to vote at the Meeting will be Thursday, June 28, 2012.
