General Donlee Canada Inc. Announces Offer to Purchase 7.00% Convertible Unsecured Subordinated Debentures

TORONTO, Oct. 4, 2013 /CNW/ - General Donlee Canada Inc. (TSX: GDI.DB; "General Donlee") today announced that, as a result of the previously announced acquisition of General Donlee by a wholly-owned subsidiary of Triumph Group, Inc. (NYSE:TGI), and pursuant to General Donlee's obligations under the indenture (the "Indenture") governing General Donlee's 7.00% convertible unsecured subordinated debentures due June 30, 2014 (the "Convertible Debentures"), General Donlee has delivered to Computershare Trust Company of Canada, the trustee under the Indenture, an offer to purchase the Convertible Debentures for an amount equal to 101% of the principal amount thereof plus accrued and unpaid interest (less any tax required to be withheld) (the "Change of Control Offer").

The Change of Control Offer is expected to be mailed on October 7, 2013 to the registered holders of Convertible Debentures in compliance with the Indenture, and General Donlee anticipates completing the redemption of all Convertible Debentures tendered to the Change of Control Offer on November 11, 2013.
