General Donlee Canada Inc. Announces Shareholder Approval of Acquisition by Triumph Group, Inc.
TORONTO, Sept. 30, 2013 /CNW/ - General Donlee Canada Inc. (TSX: GDI; the "Company" or "General Donlee") announced that, at its special meeting of shareholders held today (the "Meeting"), shareholders approved the previously announced arrangement (the "Arrangement") whereby a wholly-owned subsidiary of Triumph Group, Inc. ("Triumph") will acquire all of the Company's common shares.
The Arrangement was approved by approximately 99.41% of the votes cast at the Meeting.
Completion of the Arrangement remains subject to certain conditions, including final court approval. An application seeking a final order approving the Arrangement has been scheduled to be heard at the Ontario Superior Court of Justice at 330 University Avenue, Toronto, Ontario at or around 10:00 a.m. on October 1, 2013. If the final order is granted and all other conditions precedent to the Arrangement are satisfied or waived, the Corporation expects that the Arrangement will be completed on October 4, 2013.
