Geosam Capital Inc. updates holdings of Royal Host Inc.

TORONTO, March 6, 2012 /CNW/ - As at March 6, 2012, Geosam Capital Inc. ("Geosam") owns the following securities of Royal Host Inc. ("Royal Host"): 1,260,700 common shares, $2,098,000 principal amount of 6.25% convertible debentures maturing September 30, 2013 ("Series C Debentures"), convertible into 430,801 common shares and $713,000 principal amount of 5.90% convertible debentures maturing June 30, 2014 ("Series D Debentures"), convertible into 115,186 common shares. On an as converted basis, such securities represent 10.0% of the common shares.

Pursuant to the Securities Act (Ontario), Geosam is presumed to be acting jointly or in concert with family members of George Armoyan, President of Geosam, with whom he resides and with Clarke Inc. ("Clarke"). This does not constitute an admission by Geosam that it is acting jointly or in concert with any other person with respect to securities of Royal Host and Geosam expressly disclaims ownership of securities of Royal Host held by persons other than Geosam. According to Clarke's most recent SEDI filing (made on January 1, 2011), Clarke owns 5,293,568 shares of Royal Host representing 30.1% of the outstanding common shares of Royal Host (and 29.2% of the outstanding common shares on an as converted basis).

On an aggregate basis, Geosam, George Armoyan, members of his family with whom he resides and Clarke, own, directly or indirectly, 6,837,168 common shares, $2,098,000 principal amount of Series C Debentures, convertible into 430,801 common shares and $713,000 principal amount of Series D Debentures, convertible into 115,186 common shares. On an as converted basis, such securities represent an aggregate of 40.7% of the common shares.

Geosam may acquire additional securities of Royal Host, dispose of some or all of the existing or additional securities of Royal Host, or continue to hold securities of Royal Host in the normal course of Geosam's investment activities.
