VANCOUVER, BC, June 10, 2022 /CNW/ - Great Panther Mining Limited (TSX: GPR) (NYSE-A: GPL) ("Great Panther" or the "Company"), a growth-oriented precious metals producer focused on the Americas, reports that it has received notice (the "Notice") from NYSE American LLC ("NYSE American") that it has fallen below the continued listing requirement related to the price of its common stock on the NYSE American. The NYSE American determined that because the Company's securities have been selling for a low price per share for a substantial period, which the NYSE determines to be a 30-trading-day average of less than $0.20, the Company was not in compliance with Section 1003(f)(v) of the NYSE American Company Guide.
The Company intends to take steps to regain compliance with NYSE American continued listing requirements. In the Notice, the NYSE American informed the Company that its continued listing is predicated on demonstrating sustained price improvement above $0.20 per share no later than by December 6, 2022, which could be achieved by effecting a reverse stock split of its common stock. At the Company's upcoming AGM on June 29, 2022, shareholders will be asked to vote on a resolution that will grant the Company's Board of Directors the discretion to authorize a reverse stock split in order to satisfy continued listing requirements. The Company's listing on the Toronto Stock Exchange ("TSX") is unaffected by any actions of the NYSE. The Company's common stock will continue to be listed on the NYSE American while it attempts to regain compliance with the listing standards, subject to the Company's compliance with other continued listing requirements. The NYSE American notification does not affect the Company's business operations or its reporting obligations under the Securities and Exchange Commission regulations and rules.
