Hy-Drive Announces Closing of Private Placement

MISSISSAUGA, ON, May 19 /CNW/ - Hy-Drive Technologies Ltd. ("Hy-Drive" or the "Company") is pleased to announce that it has completed its previously announced "best efforts" private placement and has issued Cdn$4,028,001 of units ("Units") of the Company (the "Offering").
Pursuant to the Offering, the Company has issued 13,426,664 units ("Units") at a price of Cdn$0.30 per Unit. Each Unit was comprised of one common share (a "Share") of the Company and one-half of one warrant (a "Warrant") with each whole Warrant exercisable for one Share of the Company at an exercise price of Cdn$0.46 per share for a period of five years.
CapStone Investments ("CapStone") acted as non-Canadian placement agent in connection with the Offering. The Company issued 12,999,996 Units on a brokered basis and 426,668 Units on a non-brokered basis.
All securities issued or issuable pursuant to the Offering are subject to a hold period expiring on September 20, 2010, in accordance with the policies of the TSX Venture Exchange and applicable securities laws.
Capstone Investments is receiving a cash fee of Cdn.$189,000 and 780,000 broker warrants, each exercisable for one Share at price of Cdn$0.46 per share for a period of two years. In addition, as previously announced, the Company had issued CapStone 100,000 warrants exercisable for Shares at a price of Cdn.$0.494 per share in consideration of financial advisory services valued at USD$35,000.
The net proceeds of the Offering will be used by the Company for working capital, marketing and production of HGS units, production of the mining HGS and for capital expenditures required to complete the development of IP for engine platforms other than Caterpillar.
