VANCOUVER, Dec. 15 /CNW/ - Carolina Capital Corp. ("Carolina"), a capital pool company, is pleased to announce that it has completed its initial public offering.
Carolina issued an aggregate of 2,000,000 common shares to purchasers in British Columbia and Alberta at a purchase price of $0.10 per share for gross proceeds of $200,000. Mackie Research Capital Corporation acted as agent in respect of the offering and received a cash commission of $20,000 and a corporate finance fee of $10,000, as well as an option to acquire an aggregate of 200,000 common shares for a period of two years from the date of the listing of the common shares of Carolina on the TSX Venture Exchange at an exercise price of $0.10 per share.
Furthermore, Carolina has granted options to acquire 400,000 common shares at a price of $0.10 per common share to the directors of the Company which will expire five years from the date of grant.
The board of directors of Carolina consists of Suzanne Wood, Stephen Hanson and Donn Burchill.
It is expected that Carolina's common shares will resume trading on the TSX Venture Exchange at the opening on December 16, 2010 under the trading symbol "CQC.P".
