Mr. David Beatty
as Chairman of its Board of Directors effective
January 1, 2010
, succeeding
Mr. Richard Ross
who retired from this office and as a director on
December 31, 2009

Mr. Beatty
is Professor of Strategic Management and Director of the Clarkson Centre for Business Ethics and Board Effectiveness at the University of Toronto's Rotman School of Management. He is also former Managing Director of the Canadian Coalition for Good Governance.
Mr. Beatty
has been a director of the Corporation since 2003 and has served as Lead Director for the past five years. He is currently Chair of the Corporate Governance and Nominating Committee and is a member of the Compensation Committee.
Mr. Tilk
, President and Chief Executive Officer of the Corporation, has been appointed to the Corporation's Board of Directors effective
January 1, 2010
to fill the vacancy created by
Mr. Ross
's retirement.
