JC Asset Management Group (Canada) inc. disposes of common shares of D-Box Technologies Inc.

This press release is issued pursuant to Multilateral Instrument 62-104 - Take-Over bids and Issuer Bids.

MONTRÉAL, March 28, 2017 /CNW Telbec/ - JC Asset Management Group (Canada) Inc.("JC Group"), formerly known as Gold-Finance (Canada) Asset Management Limited, announces that it has disposed of ownership of an aggregate of 400,000 common shares ("Common Shares") in the capital of D-Box Technologies Inc. ("D-Box") on the Toronto Stock Exchange. The consideration received in respect of the disposition of the Common Shares noted above was between $0.39 to $0.51 CAD per Common Share and in total at $181,700 CAD.

After giving effect to the disposition of Common Shares noted above, JC Group beneficially owns an aggregate of 10,711,111 common shares and 8,333,333 common share purchase warrants entitling JC Group to purchase up to 8,333,333 common shares of D-Box at a price of $0.60 until June 18, 2017, together representing approximately 10.35% of the issued and outstanding securities of D-Box (on a fully diluted basis). The above noted disposition also gives effect to a decrease of 2.06% in the issued and outstanding securities of D-Box held by JC Group.

JC Group's disposition of Common Shares noted above were made in the ordinary course of business and for investment purposes. JC Group may in the future, increase or decrease its beneficial ownership of common shares or other securities of D-Box whether in the open market, by privately negotiated agreement or otherwise.
