JJR VI Acquisition Corp. ANNOUNCES RESULTS OF SHAREHOLDER MEETING

TORONTO, Dec. 17 /CNW/ - JJR VI Acquisition Corp. ("JJR VI") announces that in connection with the previously announced transaction whereby JJR VI would acquire all of the issued and outstanding shares of American Insurance Acquisition Inc., a wholly-owned subsidiary of Kingsway Financial Services Inc. (the "Qualifying Transaction"), that it has received shareholder approval for the following matters to take effect in connection with or upon the completion of the Qualifying Transaction: (i) the election of Jordan Kupinsky, Larry Swets, Jr., Scott Wollney and Gordon Pratt as directors of the resulting issuer; (ii) the consolidation of the common shares in the capital of JJR VI on the basis of a ratio within the range of one post-consolidation common share for every 5 pre-consolidation common shares (5:1) to one post-consolidation common share for every 15 pre-consolidation common shares (15:1); (iii) the amendment of the proposed articles of association of JJR VI upon its continuance to the Cayman Islands to, among other things, create two additional classes of shares, Preferred Shares and Restricted Voting Common Shares; and (iv) the stock option plan.
Completion of the Qualifying Transaction is subject to a number of conditions including, but not limited to, regulatory approvals, including the approval of the Illinois Department of Insurance. There can be no assurance that the Qualifying Transaction will be completed as proposed or at all.
