Lorito Holdings S.à.r.l. and Zebra Holdings and Investments S.à.r.l. Acquire Shares of Etrion Corporation

LUXEMBOURG, May 22, 2018 /CNW/ - Lorito Holdings S.à.r.l. ("Lorito") and Zebra Holdings and Investments S.à.r.l. ("Zebra"), two companies controlled by a trust settled by the late Adolf H. Lundin, and as such joint actors, both incorporated under the laws of Luxembourg, 40, Boulevard Grande Duchesse Charlotte, L-1330 Luxembourg, announced today that they had acquired 40,280,188 common shares of Etrion Corp ("Etiron" or the "Company" (TSXV:ETX.TO and NASDAQ OMX:ETX.ST) for SEK1.69(Can$0.248768) per common share representing approximately 12.06% of the Company's issued and outstanding share capital. The common shares were acquired through the facilities of the Stockholm NASDAQ Main Exchange on May 18, 2018 for a total consideration of SEK 68,073,517.72 (Can$10,020,422.81).

The purchase of the shares was made pursuant to the private agreement exemption set forth in Item 4.2 of National Instrument 62-104 as it was a purchase from not more than 5 persons in the aggregate, and the price paid for the shares, including brokerage fees or commissions, was not greater than 115% of the simple average closing price of the last 20 days of trading preceding the acquisition of the shares. 

As a result of this acquisition, Lorito now holds a total of 61,655,814 common shares or approximately 18.45% whereas Zebra now holds 54,782,312 shares or approximately 16.40% of the Company's issued and outstanding share capital. Collectively, Zebra and Lorito now hold a total of 116,438,126 common shares representing approximately 34.85% of the Company's issued and outstanding share capital.

Lorito and Zebra are joint actors with respect to their common shares of Etrion which were acquired for investment purposes. Each of Lorito and Zebra may from time to time increase or decrease their investments in the common shares of Etrion depending upon the business and prospects of the Company and depending upon future market conditions.
