March 4, 2010
, MSP 2008 Resource LP (the "Partnership") will transfer substantially all of its assets to Mackenzie Financial Capital Corporation ("Capitalcorp"). In exchange, Capitalcorp will issue to the Partnership a number of shares of Mackenzie Universal World Resource Class (the "Fund") having the same aggregate value as the aggregate value of the assets transferred by the Partnership. On or about
March 5, 2010
, the Partnership will be dissolved, with the result that Limited Partners of the Partnership will become shareholders of the Fund. Appropriate tax elections will be made so that these transfers occur on a tax-deferred basis.
The Fund is a mutual fund that is a class of redeemable shares of Capitalcorp, a multi-class mutual fund corporation. The Fund pursues long-term capital growth primarily from investment in shares of companies operating anywhere in the world in the energy and natural resources industries. The Fund is one of 57 separate classes of mutual fund shares currently offered by Capitalcorp, which include a broad range of investment mandates and portfolio managers. Shareholders of Capitalcorp are permitted to switch between most Capitalcorp mutual funds, and all switches occur on a tax-deferred basis.
