Millar Western Files Registration Statement for Offer to Exchange Outstanding Senior Notes

EDMONTON, March 7, 2012 /CNW/ - Millar Western Forest Products Ltd. ("Millar Western") today announced that it has filed a registration statement on Form F-4 with the U.S. Securities and Exchange Commission (the "SEC") in connection with a proposed offer to exchange US$210 million aggregate principal amount of 8.5% Senior Notes due 2021 that have been registered under the U.S. Securities Act of 1933, as amended (the "Securities Act"), for all of its outstanding 8.5% Senior Notes due 2021, which were issued on a private placement basis in transactions exempt from the registration requirements of the Securities Act.  Millar Western is conducting the exchange offer to satisfy its obligations under a registration rights agreement entered into in connection with the private placement of the outstanding notes.

A registration statement relating to these securities has been filed with the SEC but has not yet become effective.
