Northstar Aerospace announces extension of forbearance agreement, addresses cease trade order and provides update on strategic alternatives process

CHICAGO, IL, April 6, 2012 /CNW/ - Northstar Aerospace, Inc. (TSX:NAS) (the "Corporation") announced that the forbearance agreement entered into with the syndicate of lenders under the Corporation's existing credit facility has been extended. Under the forbearance agreement, as extended, the lenders have agreed to forbear from the exercise of their rights under the credit facility through April 20, 2012.
The Corporation also announced that, as a result of the Corporation not having filed its audited financial statements for the year ended December 31, 2011 by the deadline of March 30, 2012, the Ontario Securities Commission issued an order to cease trade the Corporation's shares. The full text of the order may be viewed on the National Cease Trade Order Database at http://cto-iov.csa-acvm.ca. As a consequence, the Investment Industry Regulatory Organization of Canada halted trading of the Corporation's shares on April 5, 2012.
In conjunction with the Corporation's previously announced strategic alternatives process, the Corporation is reviewing non-binding proposals for the purchase of substantially all of the business and assets of the Corporation. No assurance can be given that any of these proposals will result in a transaction or to what extent, if any, that such a transaction will result in value for all of the various stakeholders of the Corporation after repayment of secured debt.
As previously disclosed in the notes to the Corporation's interim financial statements as of September 30, 2011, significant doubt remains regarding the Corporation's ability to continue as a going concern. No assurances can be given that the financial issues faced by the Corporation will be resolved in a satisfactory manner.
