VANCOUVER and NEW DELHI, India, Oct 1 /CNW/ - Pebble Creek Mining Ltd. (the "Company") announces a non-brokered private placement ("Private Placement") of up to 10 million units ("Units") at a price of $0.11 per Unit for gross proceeds of up to $1,100,000.  Each Unit will be comprised of one common share of the Company and one-half of one common share purchase warrant, with each whole common share purchase warrant entitling the holder thereof to acquire one additional common share of the Company at an exercise price of $0.20 for a term of one year.

In connection with the Private Placement, the Company may pay to certain finders a finder's fee equal to up to 8% of the gross subscription proceeds, payable either in cash, common shares of the Company or a combination of both.

The Private Placement and payment of the finder's fees are subject to the TSX Venture Exchange's approval. Certain insiders of the Company may participate in the Private Placement.

The net proceeds from the Private Placement will be used for exploration and development of the Company's mineral projects and for working capital.

The Company also announces that it will not proceed with the non-brokered private placement previously disclosed in the Company's news release dated June 29, 2010.
