Press Release for Early Warning Report Regarding Wall Financial Corporation

VANCOUVER, May 9, 2019 /CNW/ - Peter Wall, of 1010 Burrard Street, Vancouver, British Columbia V6Z 2R9, today announced that on May 1, 2019, he acquired indirect ownership of 150,000 common shares ("Common Shares") of Wall Financial Corporation ("Wall Financial"), a company with a head office at 1010 Burrard Street, Vancouver, British Columbia V6Z 2R9, at a purchase price of CDN$17.00 per Common Share for an aggregate purchase price of CDN$2,550,000.  Mr. Wall acquired the 150,000 Common Shares indirectly through a private transaction made in reliance on the normal course purchase exemption set out in section 4.1 of National Instrument 62-104 Take-Over Bids and Issuer Bids.  Prior to the acquisition, Mr. Wall owned, directly or indirectly, or exercised control or direction over 17,902,762 Common Shares, representing approximately 52.73% of the total number of issued and outstanding Common Shares.  After the acquisition, Mr. Wall owns, directly or indirectly, or exercises control or direction over, 18,052,762 Common Shares, representing approximately 53.17% of the total number of issued and outstanding Common Shares.  This change will represent an increase of approximately 0.44% in the total number of issued and outstanding Common Shares held by Mr. Wall. Mr. Wall's acquisition was made for investment purposes. In accordance with applicable securities laws, Mr. Wall may, from time to time and at any time, acquire additional shares and/or other equity, debt or other securities or instruments (collectively, "Securities") of Wall Financial in the open market or otherwise, and reserves the right to dispose of any or all of his Securities in the open market or otherwise at any time and from time to time, and to engage in similar transactions with respect to the Securities, the whole depending on market conditions, the business and prospects of Wall Financial and other relevant factors
