Resource Capital Fund VI L.P. Announces Sale of Common Shares in TMAC Resources Inc.

DENVER, July 19, 2016 /CNW/ - Resource Capital Fund VI L.P. ("RCF VI") reports that it has sold 2,120,000 common shares (the "Shares") in the capital of TMAC Resources Inc. (the "Company") in connection with a previously announced secondary public offering (the "Secondary Offering"), which closed on July 19, 2016. The Shares were sold at a price of C$15.10 per Share, for gross proceeds of C$32,012,000. The Shares are listed on the Toronto Stock Exchange. Concurrently with the Secondary Offering, the Company completed a treasury offering (the "Treasury Offering") of 3,975,000 common shares in the capital of the Company.

Before giving effect to the Treasury Offering and after giving effect to the Secondary Offering, the Shares represent approximately 2.7% of the issued and outstanding common shares in the capital of the Company (the "Common Shares") on a non-diluted basis and 2.5% of the issued and outstanding Common Shares on a fully diluted basis. Before giving effect to the Treasury Offering and the Secondary Offering, RCF VI owned and controlled, directly or indirectly, 27,769,274 Common Shares, representing approximately 35.1% of the issued and outstanding Common Shares on a non-diluted basis and 33% of the issued and outstanding Common Shares on a fully diluted basis. After giving effect to the Treasury Offering and the Secondary Offering, RCF VI owns and controls, directly or indirectly, 25,649,274 Common Shares, representing approximately 30.9% of the issued and outstanding Common Shares on a non-diluted basis and 29.1% of the issued and outstanding Common Shares on a fully diluted basis.

RCF VI disposed of the Shares to realize on a portion of its investment in the Company. RCF VI may from time to time acquire additional securities, dispose of some or all of the existing or additional securities or may continue to hold the securities of the Company.
