Respect Your Universe, Inc. Announces Closing Of Debt Financing

PORTLAND, Ore., Dec. 13, 2013 /CNW/ - Respect Your Universe, Inc. ("RYU") (TSX VENTURE: RYU) (OTCQB: RYUN) announced today the closing of an offering of a promissory note (the "Note") in the principal amount of US$500,000. The Note has a maturity date of January 1, 2015 and bears interest of 15% per annum, which is payable each fiscal quarter. The Note is secured by all of the assets of RYU. In connection with the issuance of the Note, RYU issued to the holder warrants to purchase up to 300,000 shares of common stock of RYU at an exercise price of $0.25 until January 1, 2015. RYU continues to seek additional financing.

All securities issued in connection with the financing will be subject to a statutory hold period. None of the securities issued have been registered under the United States Securities Act of 1933, as amended (the "1933 Act"), and none of them may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act.
