VANCOUVER, Oct. 22, 2018 /CNW/ - Rockshield Capital Corp. (CSE: RKS), (US: RKSCF), (FSE: 6BC) (the "Company") announces that it intends to undertake a normal course issuer bid ("NCIB") through the facilities of the Canadian Securities Exchange. Under the NCIB, the Company intends to acquire up to 4,693,610 common shares (the "Shares") in the capital of the Company, representing approximately 10% of its public float. As at October 22, 2018, the Company had 48,385,854 common shares issued and outstanding, out of which 1,449,750 shares are held by directors and officers of the Company. The normal course issuer bid will commence on October 23, 2018 and end no later than October 22, 2019. The Company may terminate the NCIB earlier if it feels it is appropriate to do so.
The Company has appointed PI Financial Corp. to conduct the NCIB. The purchase and payment of the Shares will be made in accordance with all requirements of the CSE. All price paid for the Shares will be the market price at the time of purchase. All Shares purchased will be cancelled.
The Company believes that its common shares are undervalued at current market prices and that the repurchase of common shares for cancellation at current market price is an appropriate use of corporate funds.
