ROI Canadian High Income Mortgage Fund, ROI Canadian Mortgage Income Fund and ROI Canadian Real Estate Fund File Final Prospectuses
TORONTO, Nov. 30, 2012 /CNW/ - Return On Innovation Advisors Ltd. (the "Manager") is pleased to announce that each of ROI Canadian High Income Mortgage Fund (formerly ROI High Income Private Placement Fund), ROI Canadian Mortgage Income Fund (formerly ROI Private Placement Fund) and ROI Canadian Real Estate Fund (formerly ROI Strategic Private Placement Fund) (collectively, the "Funds") has filed a final non-offering prospectus dated November 29, 2012 with the Ontario Securities Commission. Each of the Funds is a closed-end investment fund established as a trust under the laws of the Province of Ontario. As of today, the Funds have total net asset values of approximately $536 million in the case of ROI Canadian High Income Mortgage Fund, $465 million in the case of ROI Canadian Mortgage Income Fund and $247 million in the case of ROI Canadian Real Estate Fund.
The TSX has conditionally approved the listing of the Class A units of ROI Canadian High Income Mortgage under the symbol RIH, the listing of the Class A units of ROI Canadian Mortgage Income Fund under the symbol RIL and the listing of the Class A units of ROI Canadian Real Estate Fund under the symbol RIR. The Manager anticipates that the Class A units of each of the Funds will be listed on the TSX on or about December 7, 2012.
ROI Canadian High Income Mortgage Fund
The investment objective of ROI Canadian High Income Mortgage Fund is to provide unitholders with attractive risk adjusted, monthly, tax advantaged cash distributions, a high current yield, some long-term capital appreciation and preservation of capital by investing primarily directly or indirectly in, or by obtaining economic exposure through the forward agreement to, an actively managed diversified portfolio of commercial mortgages, loans secured by, or that provide a participating interest in, real property or ownership interests in real property. ROI Canadian High Income Mortgage Fund anticipates paying a targeted monthly distribution to unitholders of $0.05 per Class A unit based on an assumed net asset value of $10.00 per unit. This represents an implied cash flow yield of 6.00% annually.
ROI Canadian High Income Mortgage Fund obtains exposure to an actively managed diversified portfolio of investments which consist primarily of high yielding loans secured by, or that provide a participating interest in, commercial mortgages, real property or ownership interests in real property. The Fund obtains such exposure by making investments directly or indirectly, including through a forward agreement which provides exposure to the investments of a reference fund, as may be determined by the Manager from time to time.
ROI Canadian Mortgage Income Fund
The investment objective of ROI Canadian Mortgage Income Fund is to provide Unitholders with attractive risk adjusted, monthly, tax advantaged cash distributions, a nominal after-tax current yield, long-term capital appreciation and preservation of capital by investing primarily, directly or indirectly in, or by obtaining economic exposure through the forward agreement to, an actively managed diversified portfolio of commercial mortgages, loans secured by, or that provide a participating interest in, real property or ownership interests in real property. ROI Canadian Mortgage Income Fund anticipates paying a targeted monthly distribution to unitholders of $0.042 per Class A unit based on an assumed net asset value of $10.00 per unit. This represents an implied cash flow yield of 5.04% annually.
ROI Canadian Mortgage Income Fund obtains exposure to an actively managed diversified portfolio of investments which consist primarily of loans secured by, or that provide a participating interest in, commercial mortgages, real property or ownership interests in real property. The Fund obtains such exposure by making investments directly or indirectly, including through a forward agreement which provides exposure to the investments of a reference fund, as may be determined by the Manager from time to time.
