RYU Apparel Inc. Closes $690,126 in Private Placement, CEO Increases Equity Position by $400,000

VANCOUVER, April 1, 2016 /CNW/ - RYU Apparel Inc. (TSX VENTURE: RYU & Frankfurt Stock Exchange: RYA), a global, athletic tech-style apparel brand engineered for the fitness, training and performance of the multi-discipline athlete, is pleased to announce that it closed a private placement of 3,450,626 units (each a "Unit") at a price of $0.20 per Unit for proceeds of $690,126 on March 31, 2016. Each Unit consists of one common share (a "Share") and one warrant, which entitles the holder to purchase one additional Share at a price of $0.50 per Share for a period of three years.

All securities issued pursuant to the financing are subject to a statutory hold period expiring four months and one day after March 31, 2016.

None of the securities issued in connection with the financing will be registered under the United States Securities Act of 1933, as amended (the "1933 Act"), and none of them may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act.
