Scotiabank and DundeeWealth Announce Mailing of Offer and Take-over Bid Circular Together with Directors' Circular
TORONTO, Dec. 15 /CNW/ - Scotiabank today has mailed to shareholders of DundeeWealth Inc. ("DundeeWealth" or the "Company") its offer for all common shares of the Company that it does not currently own, as previously announced (the "Offer"). Included in the mailing will be the Take-over Bid Circular and related documents.
Scotiabank is offering 0.2497 of a Scotiabank common share and, at the election of each shareholder, either $5.00 in cash or 0.2 of a $25.00 principal amount 3.70% five year rate reset Scotiabank preferred share for each DundeeWealth common share (including common shares issuable on conversion of other shares). DundeeWealth shareholders will also receive a special distribution of $2.00 per share in cash as well as an interest in Dundee Capital Markets Inc. (DCM), with an approximate value of $0.50 per DundeeWealth share, which DundeeWealth will spin out to its shareholders in connection with the transaction. DundeeWealth plans to file a preliminary prospectus for DCM with the Canadian securities regulators in December 2010.
Also included in the package being mailed to shareholders is the Directors' Circular prepared by DundeeWealth's Board of Directors, which includes the unanimous recommendation of independent directors that DundeeWealth shareholders accept the Offer. The package also includes the formal valuation and fairness opinion.
The Offer will expire at 12:01 a.m. ET on January 20, 2011, unless extended or withdrawn.
The Offer and Take-over Bid Circular, the Directors' Circular and related documents have been filed with SEDAR and will be available at www.sedar.com.
