TORONTO, Sept. 23, 2022 /CNW/ - Shiny Health & Wellness Corp. ("Shiny Health" or the "Company") (TSXV: SNYB) is pleased to announce that, through its subsidiary mīhī Health & Wellness (collectively "the Company"), it has entered into a definitive Asset Purchase Agreement to complete its previously-announced acquisition of Cotton Mill Pharmacy ("Cotton Mill") for a total purchase price of $700,000 plus approximately $135,000 in inventory. The acquisition, which was originally announced on May 16, 2022, is currently scheduled to close on October 3, 2022, subject to regulatory approvals and other customary conditions to closing. Closing of the Cotton Mill transaction will be the first pharmacy acquisition in furtherance of the Company's broader retail expansion strategy into health and wellness. In operation since 2015, Cotton Mill is a fully independent no banner pharmacy located in Cornwall, Ontario.

To finance the acquisition, the Company has received a committed arrangement from Care Lending Group for a $600,000 secured acquisition 10-year term loan (the "Acquisition Loan"), which will be fully drawn at closing. The Acquisition Loan will bear interest equivalent to the 5-year Government of Canada Bond rate at close plus 440 basis points and be repayable monthly in instalments of principal and interest based on a 120-month amortization schedule. Pursuant to the Asset Purchase Agreement, $100,000 of the purchase price will be paid through a one-year vendor take-back loan at an annual interest rate of 4.0%. The Company expects to pay the balance of the purchase price (approximately $135,000 in respect of inventory) from cash on hand.
"Once the transaction closes, management's store-level development plan will focus on improving the patient and customer experience, increasing revenue generating opportunities, and pursuing operating efficiencies to enhance margins and EBITDA," said Mike Nadeau, Chief Operating Officer and President of Pharmacy.
Acquiring retail pharmacies is an integral part of Shiny Health's growth plan and merger and acquisition focus as it expands beyond retail cannabis operations. The objective is to build a network of retail pharmacies with the goal of achieving operational scale. Beyond Cotton Mill, the Company is currently evaluating five further acquisition candidates with active due diligence ongoing.
In addition, the Company has engaged the lead pharmacist and co-owner of Cotton Mill in a consulting management contract for a 12-month term from the closing date to support the Company's ongoing pharmacy M&A objectives and operations.
