SiriusXM Canada Announces Voting Results of Annual and Special Meeting of Shareholders

TORONTO, Jan. 20, 2016 /CNW/ - Sirius XM Canada Holdings Inc. ("SiriusXM Canada" or the "Company") (TSX: XSR), parent of Sirius XM Canada Inc., is pleased to announce that each of the eight director nominees listed in the Management Information Circular, dated December 9, 2015, were elected as directors of SiriusXM Canada at the Annual and Special Meeting of shareholders of the Company (the "Meeting") held on January 15, 2016. The detailed results of the vote for the election of directors held at the Meeting are set out below.

In addition, the re-appointment of PricewaterhouseCoopers LLP as the auditor of the Company to hold office until the next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the auditor's remuneration, was approved by a resolution passed with 113,607,646 (99.9%) total votes cast "FOR" and 10,638 total votes "WITHHELD".

Finally, the approval of all unallocated options under the Company's stock option plan, and the ability of the Company to continue granting options under its stock option plan until January 15, 2019, was approved by a resolution passed with 107,087,887 (94.6%) total votes cast "FOR" and 6,135,034 total votes "AGAINST".
