Stonegate Agricom Closes Common Shares for Debt Transaction
TORONTO, May 1, 2013 /CNW/ - Stonegate Agricom Ltd. ("Stonegate" or the "Company") (TSX: ST) today announced it has closed the previously announced transaction whereby Stonegate acquired Sprott Resource Corporation (SRC)'s fully drawn $7.5 million loan facility for 11,538,462 Stonegate common shares at a price of $0.65 per share. The transaction was announced on April 29, 2013.
SRC currently owns 58,450,462 Stonegate common shares, or 37.5% of total outstanding shares.
The material change report in respect of the transaction will be filed less than 21 days before closing of the transaction. The Company considers this reasonable and necessary as it has allowed the Company to eliminate a debt obligation and stop the accrual of interest owing on the debt.
