Strata Announces $1,000,000 Private Placement

TORONTO, Feb. 13, 2013 /CNW/ - Strata Minerals Inc. (TSX-V: SMP) ("Strata" or the "Company") is pleased to announce that it will undertake a non-brokered private placement to sell up to 10,000,000 units (the "Units") at a price of $0.10 per Unit for aggregate proceeds of up to $1,000,000.
Each Unit consists of one common share of the Company and one-half of one share purchase warrant. Each warrant will entitle the purchaser to purchase an additional common share at a price of $0.15 per share for a period of eighteen months following the closing of the offering. Where the Strata common shares trade for twenty (20) consecutive trading days at a weighted average trading price of not less than $0.25 per share, Strata may accelerate the expiry of the warrants, such that the warrants shall expire within 30 days of the issuance of a news release by Strata disclosing such accelerated expiry. The net proceeds of the financing will be used for ongoing exploration work on the Company's Cardabia Project and for general working capital purposes.
In connection with the offering, a finder's fee may be paid consisting of a cash commission equal to 6% of the gross proceeds raised under the offering and warrants equal to 6% of the amount of the shares placed under the offering, on the same terms as the warrants issued in the offering.
The Company has engaged NewGen Advisors Limited as the lead investment advisors for the offering.
The securities issued under the offering will be subject to a four month hold period from the date of closing of the offering.
The private placement is subject to the approval of the TSX Venture Exchange.
