theScore, Inc. Announces Exercise of Over-Allotment Option

TORONTO, May 2, 2014 /CNW/ - theScore, Inc. (TSX Venture: SCR) ("theScore" or the "Company") is pleased to announce that it has received notice from Beacon Securities Limited on behalf of itself and Canaccord Genuity Corp. (the "Underwriters") that the Underwriters have fully exercised their over-allotment option (the "Over-Allotment Option") to offer an additional 3,960,000 Class A Subordinate Voting Shares (the "Class A Shares") at a price of $0.30 per Class A Share for additional gross proceeds of $1,188,000. Assuming completion of the Over-Allotment Option in full, 30,360,000 Class A Shares in aggregate are being issued pursuant to the public offering for gross proceeds of $9,108,000. With the exercise of the over-allotment option by the Underwriters, the Corporation has also increased the size of its previously announced concurrent private placement to 27,140,000 Class A Shares for gross proceeds of $8,142,000, which together with the Bought Deal Offering will raise aggregate gross proceeds to approximately $17,250,000.
Closing of the offering is now scheduled on or about May 6, 2014, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the final approval of the TSX Venture Exchange and the securities regulatory authorities, and the satisfaction of other customary closing conditions.
