TORONTO, April 27, 2020 /CNW/ - Torstar Corporation announced today that the location of its annual general meeting to be held on May 6, 2020 at 10:00 am has been moved from the 3rd floor Auditorium to the 5th Floor Boardroom at 1 Yonge Street, Toronto Ontario. The meeting will be simultaneously webcast. Details on how to log in to the webcast will be provided at www.torstar.com under Investor Relations – Presentations, Events and Conference Calls.
Torstar is monitoring the COVID-19 situation and is sensitive to the health concerns that our shareholders, employees and other potential meeting attendees may have, as well as the restrictions and recommendations that have been and may be imposed by federal, provincial and local governments, including those relating to social distancing and the maximum size of public gatherings. In light of the current restrictions, our directors (other than the Chair and CEO) and the majority of our officers will not attend the meeting in person.
We strongly encourage all shareholders not to attend the meeting in person. Torstar reserves the right to take any precautionary measures it deems appropriate in relation to the physical meeting and access to its premises. Shareholders should be aware that it is entirely possible Torstar will be unable to permit them to attend the physical meeting.
The webcast does not have voting capabilities and we therefore recommend that Class A shareholders submit a form of proxy or voting instruction form in advance of the meeting in a timely fashion as described in the management information circular (the "Circular") in respect of the meeting. Due to the likelihood of restrictions in the number of attendees, we also recommend that Class A shareholders not appoint a proxyholder to participate in and vote during the Annual Meeting other than the management representatives named in the Circular.
Following the formal proceedings at the meeting, management will respond to questions submitted digitally through the live webcast. In addition, if you prefer to submit questions in advance by email to be addressed at the meeting, please send them to [email protected] no later than 5:00 pm on May 5, 2020.
