Trez Capital Mortgage Investment Corporation files information circular and proxy statement in connection with special meeting of shareholders
VANCOUVER, Nov. 12, 2013 /CNW/ - Trez Capital Mortgage Investment Corporation (the "Corporation") announced today that it had filed its information circular and proxy statement (collectively, the "Circular") with Canadian securities regulators in preparation for its special meeting of shareholders to be held on November 29, 2013 at 9:00 am Eastern Standard Time at the Toronto Board of Trade, Ketchum-Osgoode Room, 1 First Canadian Place, 77 Adelaide Street West, Toronto, Ontario.
The Board of Directors of the Corporation unanimously recommends, for the reasons set out in the Circular, that the Corporation's shareholders VOTE FOR the special resolutions to approve the proposed transition, as discussed in the Circular.
Shareholders of record on October 29, 2013 will receive notice of and be entitled to vote at the special meeting. The Circular, which shareholders are expected to receive in the coming days, provides information on, among other things, the proposed transition from the Canadian securities regulatory regime for investment funds to the regulatory regime for reporting issuers that are public corporations.
Your vote is important. The Corporation encourages shareholders to read the meeting materials in detail. A copy of the Circular is available at www.trezcapital.com and www.sedar.com.
Completion of this proposed transition is conditional upon approval of at least 66⅔ % of the votes cast by shareholders and satisfaction of other customary conditions including regulatory approvals across Canada. It is expected that the proposed transition, if approved, will become effective November 30, 2013.
The Corporation has retained Laurel Hill Advisory Group to act as the proxy solicitation agent.
