Trez Capital Senior Mortgage Investment Corporation Announces Its Intention to Commence a Normal Course Issuer Bid
TORONTO, Dec. 17, 2014 /CNW/ - (TSX: TZS) Trez Capital Senior Mortgage Investment Corporation (the "Company"), is pleased to announce its intention to commence a normal course issuer bid ("NCIB"), subject to the approval of the Toronto Stock Exchange (the "TSX"). The Company intends to consider purchasing, from time to time over a period of 12 months, up to an aggregate maximum of 754,406 Class A shares, representing approximately 10% of its issued and outstanding Class A shares and approximately 10% of the Company's "public float" (within the meaning of the rules of the TSX).
Purchases pursuant to the NCIB may commence through the TSX three trading days after the TSX accepts the Notice of Intention to Commence the NCIB. The NCIB will terminate twelve months thereafter or such earlier time as the NCIB is completed or terminated at the option of the Company. All purchases will be made through the facilities of the TSX at market prices and otherwise in accordance with the rules of the TSX. The maximum number of common shares that can be purchased on a daily basis by the Company is 2,589 Class A shares, subject to the block purchase exception. All Class A shares acquired under the NCIB will be subsequently cancelled. The Company currently has 7,577,988 Class A shares issued and outstanding as of December 16, 2014.
The Board of Directors of the Company believes that, from time to time, the market price of the Company's Class A shares does not adequately reflect the Company's underlying value and future prospects and that, at such times, the purchase of the Class A shares represents an appropriate use of the Company's financial resources and would be in the best interests of the Company's shareholders.
