(the "Vendor").
Pursuant to the terms of the Agreement, the Company will make issue 10,000,000 shares on closing to the Vendor, and up to 10,000,000 warrants with an exercise price of US$0.24 per share for three years. The transaction is arm's length in nature and there is no finder's fee payable. The Vendor will be an Insider on closing of the transaction, and will have the right to appoint two of six directors to the board of directors. The Vendor will be restricted from exercising such number of warrants so as to bring their undiluted share position above 20% of the Company's issued and outstanding shares.
