Further to the TSX Venture bulletin dated January 30, 2012, trading in the shares of the Company will remain suspended. Members are prohibited from trading in the securities of the Company during the period of the suspension or until further notice.

Property-Asset or Share Disposition Agreement
TSX Venture Exchange has accepted for filing final documentation in respect of the Company's arm's length disposition (the Sale) of the Block, referred to below, to Genel Energy plc (Genel), a London Stock Exchange listed company, which Sale constitutes a sale of all or substantially all of the assets of the Company.
The Sale of the Company's 40% undivided interest in the Chia Surkh Block in the Kurdistan area of Iraq (the Block) pursuant to the terms of a sale and purchase agreement dated January 16, 2012 and entered into between the Company and Genel (the Purchase and Sale Agreement), which contemplates consideration of US$68 million, of which US$37 million is payable to the Company and US$31 million is payable directly to the Kurdistan Regional Government, as settlement of outstanding capacity building bonus payments, transaction costs, and related interest due under the Production Sharing Contract related to the Block.
As a result of the Sale of the Block, the Company no longer satisfies TSX Venture Exchange continued listing requirements and its listing is being transferred to NEX.
The Company issued a news release regarding the Sale and the transfer to NEX on April 30, 2012, which may be found on SEDAR.
